Acuity Law was founded by Souvik Ganguly on November, 2011. Our offices are situated in Mumbai and New Delhi. Our mission is to provide a competent team of lawyers led by experienced professionals that delivers timely and valuable advice to clients, and that seamlessly contributes to the clients' business aspirations and growth. Acuity Law comprises of a team of young and energetic lawyers led by Souvik Ganguly and Gautam Narayan, who have deep and diverse experiences in their chosen areas of practice. I. Corporate:

Mergers and Acquisitions: Acuity Law advises on complex legal issues in M&A transactions. We handle a full range of M&A transactions including advising on


(i) amalgamations / mergers;

(ii) schemes of arrangement, reconstructions and demergers;

(iii) acquisitions and divestments of shares, assets and businesses (public listed and unlisted entities);

(iv) distressed transactions; and

(v) restructuring including capital and debt restructuring, buy-back of securities and reduction

of capital. 


Our clients include public and private companies, private equity funds, both large and small, individuals, government owned businesses and overseas clients. We provide a full range of services associated with M&A transactions from highlighting industry specific legal risks, conducting legal due diligence, drafting, negotiating and finalising various transaction documents, obtaining government and regulatory approvals and complying with post completion filings and structuring joint venture transactions, 


Distressed Mergers and Acquisitions: The new insolvency law of India has resulted in significant development of distressed M&A in India. Acuity Law has been at the forefront of this practice area due to our significant experience in the field of M&A and our consistent involvement in the field of insolvency, especially since the inception of The Insolvency and Bankruptcy Code, 2016 (IBC). Acuity Law advises investors as well as resolution professionals appointed under the insolvency law in distressed M&A transactions. Our scope of work, if representing an investor, includes assisting the investor in following the bidding rules, establishing consortiums, drafting resolution plans as required under the IBC and if required representing the investor at the relevant insolvency court, i.e., the National Company Law Tribunal (NCLT). As the insolvency law mandates a strict timeline for such distressed M&A transactions, Acuity Law also specialises in conducting legal due diligences and assisting the investor and its other advisors to understand and formulate risk mitigation structures. If Acuity Law is representing the resolution professional, the scope of work involves advising on the IBC, drafting and finalising the invitation to prospective investors, reviewing expression of interests submitted by prospective investors, assisting the resolution professional to draft and finalise the request for proposal and also represent the resolution professionals in the relevant insolvency court including the NCLT, the National Company Law Appellate Tribunal and the Supreme Court of India. 


Insolvency: We engage in advising and assisting financial creditors, corporate debtors, operational creditors and insolvency professionals under the The Insolvency and Bankruptcy Code, 2016 (IBC). From the point of view of a corporate debtor, our expertise lies in devising strategy under the IBC, Companies Act, 2013, guidelines issued by the Reserve Bank of India and other applicable laws to restructure the business. On the other hand, we are at the forefront in aiding and assisting operational creditors and financial creditors in drafting applications for initiating insolvency proceedings against corporate debtors and providing negotiation support to settle or claim unpaid dues. Our practice also includes representing financial creditors, corporate debtors or operational creditors in National Company Law Tribunal and the appellate tribunal /courts on various matters relating to the IBC. 


Private Equity and Venture Funding: 


Acuity Law advises on all stages of fund creation, fund deployment and exits by investors. 


We advise on: 


(i) Indian laws relating to structuring onshore and offshore funds; 
(ii) drafting and reviewing offer documents for fund raising; 
(iii) advising on securities registration issues in India; 
(iv) registration of funds with regulatory authorities in India; 
(v) legal due diligence of prospective companies; 
(vi) negotiation assistance from term sheet stage till actual deployment of fund; 
(vii) documentation and overall transactional support; 
(viii) obtaining government and regulatory approval from various regulators; 
(ix) advising and assisting on exits. 


Our clients include private equity funds, venture capitalists, early stage funds, high net worth investors, founders and business entities. 


Labour and Employment: 


Acuity Law assists clients on various employment and labour law related issues including all key labour laws applicable to key managerial personnel, directors, workers, employees, officers, apprentices, agents and seconded employees. We assist clients in (a) designing and document stock options plans; (b) formulating and implementing retrenchment policies; (c) drafting employment agreements, appointment letters, consultancy agreements, confidentiality and non-disclosure agreements, non-compete and non-solicit agreements, termination letters, service bonds, deputation agreement, secondment agreements, stock options plans for the employees of Indian and foreign companies (listed as well as unlisted), human resource policies, (d) conducting audits to ascertain compliance under labour laws, (e) advising the employer on employee disputes, and (f) protecting key data accessible to employees, especially assisting those clients involved in technology sectors. 


Commercial and Trade arrangements: 


Acuity Law advises on various domestic and cross border commercial transactions. We assist our clients in understanding various laws and policies applicable for doing business in India. We advise on: 


(i) structuring and documenting commercial arrangements; 
(ii) drafting, negotiating and finalising various types of commercial agreements; 
(iii) providing advice on various issues relating to trade and commerce; and 
(iv) giving complete solution to implement trading arrangement including working with other advisors such as tax and transfer pricing experts. 


Corporate Advisory: 


Acuity Law advises clients on various legal issues arising out different laws, such as, matters relating to corporate governance, securities laws, capital raising, directors duties and liabilities, prohibition of insider trading laws, fraudulent and unfair trade practices, the Takeover Code, listing obligations and disclosure requirements, anti-trust laws, laws applicable to foreign portfolio investors, India entry strategy, foreign direct investment laws, investment by Indian companies outside India, contract law, laws relating to raising debt in Indian Rupees, external commercial borrowings, sector specific laws, such as, aviation laws, insurance laws, security services laws, retail trading laws, packaging laws, and other such laws which are relevant for the conduct of business by the client in India.

Civil matters:
